      <image:caption>JOSHUA RUTSTEIN Josh advises secured lenders, specialty finance clients, and entrepreneurs on credit transactions and corporate matters. His practice includes secured loan origination and documentation, lien priority, collateral protection, loan modifications, forbearance agreements, and enforcement strategy, with a focus on receivables-based financing and contract-rights collateral. Before joining the firm, Josh represented financial institutions, alternative capital providers, and business development companies in private credit and commercial finance transactions, including mezzanine, unitranche, first- and second-lien, debtor-in-possession, and other secured and unsecured lending arrangements. Josh also serves as outside general counsel to SMB and emerging companies, guiding clients through corporate formation, governance, commercial contracting, capital raising, and acquisitions/dispositions—providing the responsive “outside GC” support that founders and operators need as they grow.
